I would still think that Zane would win. Once Zane relizes that Rei is behind him all he had to do was look at him and Rei would momentarily be caught the the garrnet eyes. Once that happens Zane could change shape and strike Rei and kill him. I could be wrong. It's just an opinon.

I agree that the serpiente have a huge advantage with their second forms, but I've never liked to think that the cobriana eyes mean much more than fear of them on the avians part. In a fight situation, I don't think Rei would be thinking about that too much...well, this is in the scene in my head, where it's an arguement of some kind about Danica...

Rei is really likely never to try to attack Zane when both of them are "unarmed," because an unarmed avian is much more unarmed than an unarmed cobra. You can't take away a cobra's poison without killing them, and it's hard to kill a cobra without a weapon.
Also, Rei was raised avian. In a field of war he would be willing to take someone by surprise- in a battle- but he wouldn't premeditate a cold, calculated killing in response to something Zane said and then attack him from behind.
